| 摘 要： | 文章以2004~2006年沪深两地非金融类上市公司为研究样本,采用两步聚类分析方法按照委托代理冲突程度高低将研究样本划分为两类,在此基础上对公司治理机制与盈余管理行为之间的关系进行了实证研究。研究发现,在高委托代理冲突样本中,公司治理机制对盈余管理行为具有显著的制约作用并且上市公司的盈余管理程度相对较低;在低委托代理冲突样本组中,公司治理机制未能对盈余管理行为实现有效的制约,而上市公司的盈余管理程度相对较高。
