上市公司治理结构的契约优化设计

从契约角度分析上市公司的治理,明确上市公司治理结构中的主体地位,相互之间的制衡和履约标准,从而构建和谐而稳定的上市公司治理结构。针对目前中国上市公司治理结构中存在的契约主体不明确、契约的有效运行环境没有建立健全及契约的诚信履行机制无法保证等问题,按照契约优化原则,提出对上市公司治理结构的完善,明确上市公司治理结构中主体的法律地位,创建上市公司治理结构最佳契约的有效运行环境,以诚信为基石,构建公司治理文化。

Contract optimization design of corporate governance of listed companies

Analyzing the corporate governance of listed companies from the perspective of contract, we can make clear of the status of the contract parties and interaction among them.and harmonious and stable corporate governance can be made in listed companies.The contract parties are usually unclear,and an environment for contract effective operating is yet not to be established.We should better the corporate governance for listed company due to the principle of contract optimization,through identifying the legal status of the contract parties and establishing the environment for contract's best performance.At last we can cultivate the culture of corporate governance based on honesty and dependability.
