| 摘 要： | 美国特拉华州和英国吸引了众多投资者设立公司,造成公司扎堆的现象,其原因不仅在于制度本身的吸引力,也在于制度之外相关运作体制的配合。所以,为了增强我国对公司设立者的吸引力,不仅需要保持制度的先进性,还需要关注制度的运作环境。
