| 摘 要： | 公司治理是一系列契约的集合，股东与经营者契约关系是其中重要的组成部分。伴随着泡沫经济破灭，日本公司由于自身治理的低效率以及外部环境的重大变化，股东与经营者的契约关系发生了较大变革，由原来的封闭性、稳定性向开放性、流动性转化；契约关系进一步明晰，规范作用逐渐增强；治理绩效也有了明显提高。
