| 摘 要： | 我国商业登记制度中存在着立法形式分散 ,内容交叉 ,过度重视安全 ,忽视效率及对设立人的合法权益保护不力等弊端。要完善我国商业登记制度 ,就须制定统一的商业登记法 ,重塑立法价值取向 ,并注重保护设立人的合法权益
