再论社员权——以其演变、意义与保护为视角

古代中国与罗马法上,不可能产生私法意义上之社员权;日耳曼法中团体成员所享有的权利应为社员权最早滥觞,但社员权的大量产生和发展却是以1897年颁布的《德国民法典》为主要标志的。社员权的产生和发展具有划时代的意义,掀起了一场民事权利革命,有力地推动了近代民法向现代民法的转变。侵害社员权行为不同于传统的民事侵权行为,可分为社团、社员以及第三人对社员权的侵害;社员权的保护又有自力保护与公力保护之别。
