| 摘 要： | 企业法人营业执照具有企业法人取得法人资格和经营资格的双重效力。吊销企业法人营业执照具有行政处罚和行政强制的双重色彩。被吊销营业执照的企业法人仍是适格的被诉主体，其财产责任仍由企业法人承担，但有一可能发生向股东承担责任的转化。对吊销营业执照的企业法人实施特别清算和实行对个别债权的强制执行，有利于保护债权人的利益。
