| 摘 要： | 公司法人治理结构的核心是通过配置公司的权力 ,建立有效的监督和激励机制 ,以保护公司股东的权益 ,实现公司利益最大化。我国公司法人治理结构和我国国企公司化改革密切相关。通过剖析我国公司法人治理结构现状 ,提出完善我国公司法人治理结构的措施重点在健全公司法上的有形公司组织。

| Abstract: | The key to corporate governane is, by establishing an effective monitoring and encouraging mechanism made by dividing the power of companies, to protect the profits of shareholders, corporation itself and the interests of the whole society. In China, the scientific constructing of corporate governance is of great importance in the reform of State Owned Enterprises (SOEs), and the effective way to promote the corporate governance of China is to strengthen the organs of companies. |
