| 摘 要： | 权力及权力的配置问题是公司治理研究的焦点,不同学科对权力都有自己的定义和阐释,但对权力本身、权力来源,以及权力配置存在不同程度的混淆。事实上,权力是基于资源占有或控制而衍生出来的一种社会生产关系,它就必然反应社会生产力的发展水平并与之相适应。公司治理的制度设计就必须恰当地配置企业中的各种权力关系,其本质就是权力的治理。因此,权力是理解公司治理的一把钥匙。
