我国《商法通则》立法中的几个问题

经过多年探索,我国商法学界基本达成了制定《商法通则》的共识,并启动了相关的基础研究工作。但在相关基础研究尚显不足的背景下,不少学者在进行《商法通则》的体系构建时还存在不少认识上的误区。因此,我们有必要对《商法通则》立法时必须优先解决的以下几个问题加以阐释:商法的立法模式、《商法通则》的立法体系、《商法通则》所应遵循的基本原则、《商法通则》所应确立的法律渊源。鉴于我国商法体系所存在的内在缺陷,我国应制定形式商法,尽管《商法通则》未必是我国形式商法的唯一选择,但确实不失为一种现实选择;同时,我们应以商行为为中心来构建我国《商法通则》的立法体系,并在立法中对商法基本原则与法律渊源予以确认,从而使其能担负其总纲性商法规范立法所应用的使命。

Issues Concerning Legislation of General Rules of Commercial Law
