| 摘 要： | 公司瑕疵设立救济制度是各国公司法的重要内容。我国公司法虽在2005年进行了较大的修改，但并未引入公司瑕疵设立救济制度。本文期待在对各国公司瑕疵设立救济制度研究的基础上，构建我国的公司瑕疵设立救济制度。
