| 摘 要： | 随着《上市公司收购管理办法》的出台 ,我国上市公司以市场化为取向、以融入国际产业整体为目标的新一轮并购重组将如火如荼地展开。财务在上市公司并购中处于基础性的法定地位 ,它在分析目标企业财务状况、比较企业并购成本、策划协调并购活动、评价企业并购效果等方面都将起到关键性的顾问作用。

| Abstract: | With the publication of Administrative Methods of Listed Companies' Purchase, another round of market-oriented amalgamation and purchase of listed companies is round the corner. Because of its basic legal place, financial work will play, in the course of the amalgamation and purchase, an advisory role in analyzing the financial situation of target enterprises, planning and coordinating activities, comparing the costs, and evaluating the effects. |
