| 摘 要： | 股份合作制作为一种企业组织形式，在国企中得到了较快的推广，也取得了很好的成效。但在股份制改制实践中也暴露出一些管理问题。本文针对我国国有企业不同改制方式存在的管理问题，诸如股份合作制企业股权分配、成员购股、股权流通、股权不规范以及收益分配问题进行了分析。
