控制股东的注意义务及民事责任

控制股东是对公司具有控制权的股东。控制股东极易滥用控制权损害公司和第三人权益。为防止控制股东控制权之滥用,须对控制股东课以法律义务。控制股东之注意义务即为其处理公司事务时应尽善良管理人之谨慎义务。控制股东违反注意义务,给公司和第三人造成损失的,应负民事赔偿责任。
