| 摘 要： | 交易风险的分配研究与外观主义法理一直处于割裂状态,从理论上对二者进行关联性研究显得十分必要,运用经济学、社会学、法学等综合研究方法进行分析。分析结果表明:交易风险与交易活动相伴而生,是市场交易的副产品;商法作为市场经济的基本法,要对市场交易的风险进行合理分配;理性分配的原则是保护相对人的利益与交易安全;外观主义作为一种认定商事交易行为效力的方法,是交易风险理性分配的集中体现。

| Abstract: | The study of assignment of exchange risk and rechtsscheintheorie jurisprudence is still under dissevered condition.So it is necessary to study the two issues from relative visual angle.Through research method such as economics,sociology and legal science,such a conclusion can be deduced:exchange activity and exchange risk have become a byproduct of market exchange.As a basic law in market economy,commercial law should reasonably assign risks in market exchanges.The principle of risk assignment is to protect the opposing party and exchange safety.As a kind of means that can judge the effectiveness of commercial exchange,rechtsscheintheorie is the embodiment of reasonable assignment for exchange risks. |
