面向WTO企业集团组织结构的选择

目前 ,我国企业集团存在着组织形式不规范、发展方向不明确等问题。中国加入WTO后 ,正确选择企业集团的组织结构迫在眉睫。股份制企业集团是在市场机制协调下 ,进行社会化大生产的微观基础 ,也是企业集团组织结构的规范化形式。实施股份制改造后的企业集团 ,应采取横向持股和纵向转股两种类型 ,“法人控股、共同经营”、“国家控股、集团经营”、“国家授权、集团公司控股”三种模式 ,达到“一权两分”强化经营权的目的。

Choices of the Organizational Structures in Enterprise Groups for the Oncoming WTO

Enterprise groups of our country, nowadays, have some problems, such as nonstandard organizational structures, indefinite developing plans, etc. After the entry of WTO, how to select the organizational structure of enterprise group correctly is placed on the agenda. The enterprise group of joint stock system is a micro foundation of large scale socialized production under the cooperation of market mechanism. And also it represents a standard form of the organizational structure of enterprise group. To enhance the power of management-- "separation of the two powers", enterprise groups, after the transformation of joint stock system, should adopt "the two type operation"-- horizontal possession of stock and vertical transfer of stock, and "the three patterns"--cooperating and holding stock by legal entities; holding stock by state, operating through groups; holding stock by group company on the authority of state.
