资本主义首先是一种生产方式或生产组织 ,对资本主义萌芽的研究既要重视与之相关的“资本流通”暨资金市场等制度性因素的探讨 ,也要对生产方式本身继续进行深入研究。基于中国特定的历史环境 ,中国没有经历特许设立的历史阶段 ,故而中国的营利性商业社团 (合伙乃至公司 )虽在古代有了区别于股东个人的团体性 ,某些类型的合伙也有了一些类似于法人的因素 ,但法人的正式形成还要到清末《公司律》公布之后。中国 15— 18世纪的资金市场 (金融信用 )相对于同时期西欧一些国家 ,表现出了票据化、社会化进展迟滞的特点 ,新的信用工具有的缺乏 ,有的进展缓慢 ,但它毕竟还是较好地适应了当时经济的发展
