| 摘 要： | 《物权法》基本承袭了《担保法》和《担保法解释》关于动产质权的规定，但对一些重要的动产质权制度未作规定，从而使得动产质权制度呈现“不圆满性”。《物权法》对责任转质未作规定，应承认责任转质。同一动产上抵押权与质权竞存时，如果该抵押权未经登记，则无论抵押权与质权设立先后，质权优先于抵押权。

| Abstract: | The Property Rights Law of China basically adopts the items on pledge over movables from both Guaranty Law and Inter- pretations of Guaranty Law, to the exclusion of some important but controversial items which account for the ineompletion of the sysI tem of pledge over movables. The Property Rights Law does not stipulate the responsibility transform, which should be admitted. When mortgage and pledge coexist on the same movable, and if the mortgage is not registered, pledge is prior to mortgage, no matter the order of priority of mortgage and pledge. |
