论独立董事的制度价值

独立董事的制度价值主要表现为 :(1)有利于完善董事会的素质结构、实现董事资源的高效配置、提高董事会的整体决策能力 ;(2 )有助于在公司所有权、决策权和管理权之间形成合理的制衡机制 ,实现公司权力资源配置最优化 ,并有效遏制“内部人控制”现象 ,维护公司所有者、特别是小股东的权益 ;(3)有利于促使上市公司客观、全面、准确地披露公司有关信息资料 ,确保资本市场的基本安全 ,维护公司潜在投资者的利益和社会经济秩序 ;(4 )有利于弥补大陆法系和英美法系传统公司治理结构的缺陷。

On Institutional Values of the Independent Director

Independent directors have institutionally the tollowing values:(1) To be advantagous to promote wholly the capacity of company to make decisions.(2) To be assisted to safeguard the rights of the owners of company, particularly the small shareholders.(3)To ensure the basic safe of capital market, to uphold the rights of the potential investors, and to protect the economic orders. (4) To be benefical to remedy the defects of traditional corporate government constructure.
