| 摘 要： | 国有产权向管理层股份转让的初衷是好的,但对上市公司MBO后的经营状况的研究,发现其经营业绩却逐渐下滑,说明这与我们的初衷截然相反,文章分析了MBO的机理、问题及造成经营下滑的原因,最后提出了对策建议。

| Abstract: | The transfer of state-owned property rights to management in shares is good-willed.But an examination into the operation of listed companies after they have been MBOed shows that their performance is declining,contrarty to what we expected of them.The mechanism of MBO,the problems presented by it and the reasons for their declining performances will be analyzed and some solutions proposed. |
