| 摘 要： | 公司章程是公司法的重要组成部分,公司法是市场经济社会重要的民商法之一。公司章程与公司法关系的合理框架应是"融合互动性和矛盾冲突性"。通过什么途径和措施构建公司章程和公司法关系的合理框架是一个非常重要的研究课题。

| Abstract: | The articles of association are the most important part in company law which is one of the most important parts in civil laws in the society of market economy.A reasonable framework for the relationship between the two is supposed to be "in interaction for combination and in conflict for contradiction".The study on the way and the measures is a very important subject in constructing a reasonable framework for the relationship between them. |
