“五反”运动与私营企业治理结构之变动——以上海私营工商企业为中心

新中国成立以后的私营企业,其资本产权及企业治理已经受到来自国家及劳方权利的双重挟制,开始出现与完全市场经济条件下私营企业不同的特点,但企业治理结构最基本的职能依然掌握在企业所有者及代理人手中,这种状况在"五反"时发生了极大变化。"五反"在不否定企业原有产权及治理结构的情况下,嵌入了"检查队"、"工作队"这样一种可以凌驾于原有企业治理结构之上的主导力量。"五反"后,以巩固"五反"成果为目的,试图在私营企业中建立"工人监督"的新的制度安排最终并未实行,对私营企业原有治理结构发生实质性作用的仍然还是"劳资协商会议"。

The Movement against the Five Evils and Changes of Governance Structure of Private Enterprise:Center on Private Enterprise in Shanghai

The property right and governance structure of private enterprise after the founding of PRC had been double restricted by state and labor,in which some characteristics to be different from perfect market economy began to emerge,but owner of private enterprise had hold the basic functions of governance structure,and that state was changed in the Movement against the Five Evils(bribery of government workers,tax evasion,theft of state property,cheating on government contracts and stealing economic information).In the movement against the five evils,private enterprise had been implanted the Inspection Team and the Operating Team that could domineer over the original property right and governance structure which still existed in that time.After the movement against the five evils,the Labor Supervision,as the result of the movement against the five evils,had not been established after all.It still was the labor-capital consultative conference that produced an effect on original governance structure of private enterprise.
