有限责任的扩张

传统法学向来认为责任形态是法人制、合伙制的主要差异。但近年来，有限责任在扩张，其蚕食着无线责任的传统领域——合伙制。因有限责任内涵实为“股东的无责任”和“法人的无限责任”两个关系的结合；有限责任具有重要的功能，被誉为“近代最伟大的发明”；合伙制——有限责任扩张的主要方向——需要有限责任。所以，有限责任的扩张是一个正确且不可逆的趋势。

The expansion of limited liability

The traditional legal science always maintains that the main difference between juridical person and partnership consists in responsibility form.But in recent years,limited liability has been expanding and entering into the traditional area of unlimited liability-partnership.Because the concept of limited liability is the combination of no liability of shareholders and unlimited liability of juridical person,and limited liability are called "the greatest invention of the modern society" for its significant functions.Meanwhile,partnership as the main direction of limited liability's expansion needs limited liability.Obviously,the expansion of limited liability is correct and inevitable.
