| 摘 要： | 准母子公司制是具有中国特色的非规范母子公司制.它具有产权结构单一、法人治理不到位、管理模式单一等缺陷.准母子公司制的产生动因与规范母子公司制的组建原因相似.外部股东缺失和规避法律障碍使规范母子公司制演变为准母子公司制.将子公司持有的另一子公司的股权转让给外部投资者、子公司的高管人员和技术骨干或母公司收购子公司持有的另一子公司股权,可使准母子公司制规范化.

| Abstract: | Quasi-Parent-Subsidiary Corporations,which are the products of the China-specific context,have such defects as single structure of property rights,imperfect corporate governance and single management mode.There is no difference of motivation in the formation of quasi-parent-subsidiary and regular parent-subsidiary corporations.Lack of external shareholders and avoidance of legal obstacles have downgraded regular parent-subsidiary corporations into quasi-parent-subsidiary corporations.The transference of the stock of one subsidiary company owned by another company to external investors and the purchase of the stock by senior management or key technical personnel or the parent company are effective means to regularize such quasi-parent-subsidiary corporations. |
