摘    要:企业治理结构的完善与企业激励和约束机制的构建有关,本文在分析国有企业治理结构所存在问题的基础上,提出了以风险报酬为核心的激励机制和改进内部与外部监督的建议。

Abstract:The perfection of governance structure within enterprises is closely related to the construction of incentive and constrainingmechanism. According to the practical problems of the governance structure within state-owned-enterprises, this article makes somesuggestions of using an incentive mechanism that takes risk return as the core and of improving internal and outside supervision.
