论股份回购请求权

在股东会通过的决议将导致公司发生根本性变化的特定情况下,允许对该决议持反对意见的股东以公平合理的价格退出公司,不仅有利于保护少数股股东的利益,而且可以在一定程度上防范多数股股东和公司管理层的机会主义行为。但当公司回购异议股东的股份时,实质上等于返还股东的出资,这必然导致公司资产的减少,从而削弱对公司债权人的偿还能力,因此有必要对异议股东股份回购请求权的行使进行了一定的限制。
