| 摘 要： | 我国新修订《公司法》当中,借鉴了许多国外的先进立法,同时结合自身的实际状况,制定了一些新的条文与组织形式。另外,坚持了传统的资本三原则,实践中,公司为了坚持资本维持的原则,经常与企业的筹资发生冲突,导致公司筹资困难,引起较多的争议,本文将就坚持资本维持原则与解决企业筹资困境的制度与立法争议进行相关探讨。

| Abstract: | China's newly-made "Corporate Law" borrows a lot of advanced laws from abroad and then blends our practical considerations in the legal process and made some new clauses and organizations.The corporations often adhere to capital's three traditional principles.The adherence often contradicts the enterprises' desire to raise more funds,thus making it difficult to raise funds.The paper discusses the problems in the system and legislation of the corporate capital maintenance principle and overcoming corporations' difficulty in raising funds. |
