| 摘 要： | 现有的三大类并购估值模型都存在难以克服的固有缺陷,有必要在对三类模型组合优化的基础上构建基于产业周期理论的新的并购定价模型,新的模型结合了价值的动态和静态分析,以并购双方所处的产业周期与目标企业价值的相关性作为主要切入点,作为搭建模型和确定模型参数的依据,为我国企业的并购定价实践提供了新的思路。

| Abstract: | This paper proposes a new evaluation model in M&A based on the life cycle of industry after analyzing the disadvantages of the three traditional evaluation models of target enterprise. This model combines the dynamic and static analysis of valuation and is based on the correlation between values of target enterprise and characters of industry life cycle, which can offer a new method of the evaluation of target enterprise practice. |
