| 摘 要： | 经过多年的改革，我国国有企业基本完成了公司化改制的任务。公司作为法人组织，其运营必须首先尊重和满足有关法人的原理与具体法律制度。改制后的国有企业作为公司组织，同样需要依据法人制度的规则及公司法的立法宗旨运营与管理。而目前在公司与组织内部机构的关系及法人财产权等问题上，仍存在不利于国有企业改革的认识与操作。
