| 摘 要： | 完善上市公司治理结构的重要举措是建立独立董事制度,通过独立董事对董事会进行监督和评估,提高董事会决策能力。但我国独立董事制度正处于初创阶段,还有许多问题,应从建立健全相关的法律法规,改变股权结构,以及机制的选择与运用等方面加以解决。
