| 摘 要： | 从公司治理结构出发 ,对股份制公司与董事的关系作了简要的阐述 ,指出董事会及董事的受托责任。通过具体介绍日本对董事的激励机制的背景及具体的做法 ,指出我国目前公司治理结构不科学、不合理 ,建议施行对董事的激励机制 ,并就该激励机制的设计做出简要的阐述
