| Abstract: | The company's assets will be inevitably confronted with the risk of the company's abuse of limited liabilities and/or its fraudulent disposition of the assets by manipulating the shareholders or the management. In view of the information asymmetry and the imbalance of the control right in the company,the preservation of the company's assets requires that the controller of the company exercise the control right fairly. |
