| 摘 要： | 公司治理的趋同、公司治理的专业化以及经营者持股、控股已经成为现代公司治理中明显的演变趋势。这种演变趋势说明现代企业制度的固有缺陷无法在公司治理的框架下得到根本解决。在理论方面对这种演变趋势进行解释,有助于人们对公司治理本质的理解,并对中国公司治理的具体运作提供了借鉴。中国公司治理应强化市场竞争,完善独立董事制度,借鉴PAF、CMF制度,鼓励经营者持股或控股。

| Abstract: | Convergence, specialization of corporation management, and operator-ownership or holding-share have been the apparent development tendency of modern corporation management. This tendency proves that the inherent defects of the modern enterprise system can not be solved under the current model of corporation management. Theoretical explanation of the tendency contributes to an essential understanding of the corporation management, and offers beneficial enlightenment to the concrete operation of the domestic corporation. |
