| 摘 要： | 技术出资作为对企业投资的一种形式,无论对企业,还是对技术持有人都有着重要意义。本文通过对技术出资法律制度几个问题进行分析,包括技术出资的作价,股东出资责任制度以及对技术出资比例限制等问题,指出我国现行法律的不足并提出相应的建议。

| Abstract: | Technology investment, an investing model in enterprise, is important to both the enterprise and the owner of the technology. Through analyzing some problems in technology investment legal system, including technology evaluation, investor's liability system and technology investment's proportion, the author points out that there are some defects in present regulation and makes some suggestions to perfect them. |
