文章探讨了学术界众说纷纭的独立董事制度问题。从阐述独立董事制度的基本理论出发 ,在肯定其积极作用一面的同时 ,指出其存在的固有缺陷 ;就我国引进独立董事制度问题进行思考 ,认为对于独立董事制度 ,首先应该持一种客观冷静的态度 ,切实看到该种制度的产生背景、利弊和我国现行公司治理结构的缺憾 ,然后再进行理论评价

Reconsideration of the Independent Director System

This article discusses the independent director system, a controversial issue in academia. Starting from the discussion of basic theory of it, this article points out the inherent flaws of the independent director system. The author argues that as to the introduction of the independent director system, careful consideration should be taken into the context in which this system was established, its advantages and disadvantages as well as the weakness of current Chinese company management system.
