论我国《公司法》中一人公司制度的不足与完善

旧公司法对一人公司予以有限制地承认,而新公司法不仅承认了一人公司的合法性,并且对一人公司作了一些强制性的规制。但是新公司法对一人公司的规制尚显单薄,有待进一步完善。笔者在本文中对一人公司又提出了一些应对治理措施,尤其是对实质意义之一人公司的特别规制,试图找出一种适合一人公司的发展道路。

On Defects and Improvements about the System of Oneperson Company in the Company Law in China

The old Company Law has the limited acknowledgement to one-person company.The new Com pany Law not only acknowledged one-person company＇s validity,but also made some compulsory rules and regulations to one-person company.But the new Company Law is still weak in regulating one-person company,pending further refinements.In this article,the author also proposes some governance measures to one-person company,especially some special rules and regulations to substantive one-person company,attempting to find a development path suitable to one-person company.
