我国股份制商业银行独立董事勤勉义务之研究

独立董事勤勉义务的设置是对独立董事法律制度的完善。中国人民银行出台的《股份制商业银行独立董事和外部监事制度指引》原则性地规定了独立董事勤勉义务，但这一规定不具有可操作性。因此，在借鉴国外立法经验的基础上，从学理上提出我国独立董事勤勉义务制度应该包含两个规则：一是独立董事应该履行技能、注意、勤勉义务；二是应以严格的标准追究独立董事未履行义务的责任。

A Study on the Assiduous Obligations of Independent Directors in China's Shareholding Commercial Banks

The establishment of assiduous obligations for independent directors is an improvement of legal system concerning independent directors.The assiduous obligations for independent directors are in principle stipulated in the Guide to the System of Independent Directors and External Supervisors in Shareholding Commercial Banks,introduced by Chinese People's Bank.But this stipulation is not workable in practice.In light of the law-making experience of other countries,it is proposed that China's relevant system should include two rules:(1)Independent directors should perform their duties regarding technique,attention,and assiduity;(2)The responsibilities for their failure to perform their duties should be investigated and affixed.
