农地股份合作社解散时土地处置问题研究

农地股份合作社在全国多地均有一定规模发展，其解散时土地处置问题关系着入社农户、合作社债权人的利益，也关系着合作社的长期发展。在分析农地股份合作社入股土地客体的基础上，运用法人财产权理论分析农地股份合作社解散时土地承包经营权不能清偿债务、必须返还原承包户观点的不合理，得出结论：农地股份合作社解散时，承包地经营权是否应清偿合作社债务、是否应返还原承包户应视入股期限是否届满而定，期限届满，应当返还；期限未满，应视其他资产是否足以清偿合作社债务以及出资承包地经营权的农户意愿而定。

Discussion on How to Deal with Its Land When a Rural Land Stock Cooperative Dissolved

This paper discusses the provision that land cannot be used to pay off the debts and must be returned to the original farmer w hen a rural land stock cooperative is dissolved .T he results indicate that ,the foregoing pro-vision does not meet the requirement of the theory of independent property system of legal persons .The paper con-cludes that w hether the land should be paid off the debts or should be returned to the original farmer is due to whether the investment period expires or not .If it expires ,the land should be returned ;otherwise ,it should be due to whether other assets are sufficient enough to discharge the debts and be due to the willingness of the original farmer .
