The paper reexamines the relationship between industries and the market mechanism and assumes that the production of an industry is more cost effective than the market in the transactional organization ,and more importantly, an industry can produce added value while completing transitions. It is necessary to differentiate corporate governance from corporate management, which accounts for the reasons of the systematization of corporate governance and management. On the basis of a comparison between corporate governance and corporate management, a model of the systematization of corporate governance and management is constructed with the strategic management acting as a binding factor.
