| 摘 要： | 作为跨国公司整体结构中重要组成部分的海外子公司 ,在法律上是根据所在国法律设立和经营的独立于母公司的东道国法人 ,但在其经营过程中为满足母公司全球目标的整体利益而作出损害自身利益并进而损害东道国利益的行为选择是一个经常性的可能与事实。如何在某些特定的法律关系中确认公司人格否认作为公司人格独立的必要而有益的补充 ,应当成为国际经济法律体系重构进程中不可忽视的问题。

| Abstract: | As an important component of the overall structure of a transnational corporation, overseas subsidiary corporations, established and operated according to the laws of the host country but independent fromtheir parent corporations, are full juridical persons of the host country. However , it is usual possibly and has been true for the subsidiary of a transnational corporation to sacrifice its own interest, and further on the interest of the host country for the realization of the global aim of the parent corporation. Therefore, it is becoming an important issue to reorganize the process of the international economic law system. |
