| 摘 要： | 一人公司是指公司的股份或出资全部归属于单一股东(自然人或法人)的公司.探讨一人公司产生与发展的历史过程、立法渊源、立法依据、法律责任、问题与对策,进而对中外各国有关一人公司的法律制度进行一番比较研究,对我国公司立法以及对新公司法的贯彻实施具有重要的理论意义和现实意义.

| Abstract: | One member company is one that all the stocks or the assets are held by a sole stockholder(natural person or legal person).Probing into its history,legislation sources,legislation bases,legal duties,limitations and countermeasures,and comparing the one member company provisions in Chinese law with that in foreign laws is of great theoretical and practical significance for the legislation of corporations in China and application of new corporation law. |
