国有资产授权经营核心制度之法律性质分析

国有资产授权经营制度的核心是国有资产监督管理机构（授权方）和国有资产授权经营机构（被授权方）之间的法律关系。依照我国目前的法律法规,国有资产监督管理机构和国有资产授权经营机构之间存在双重法律关系,即出资关系和授权关系。而授权关系是一个模糊的概念,通过与代理、信托制度的比较分析,明确了授权关系的实质是信托法律关系。明确这一法律关系有利于实现国有资产所有权与法人财产权相分离,有利于进一步深化国有资产管理体制改革。

The Analysis About the Legal Nature of the Core System for the Authorized Operation of State-owned Assets

After about ten years of practice, we have established the system concerning authorized operation of state-owned assets. The core of the system is the legal relationship of state-owned assets supervision and administration institution （authorized） and the state operating company （authorized parties） . This paper pointed out that dual legal relations exist between them. contributed relation and authorized relation. And authorized relation is a vague concept. Compared with the agency system and the trust system, the substance of authorized relation is considered one of trust. It is conducive to realize the separation of state-owned property rights and corporate ownership rights and to further deepen the reform of state-owned assets management.
