| 摘 要： | 当被告董事在股东代表诉讼中胜诉时,公司对其所支付的必要的诉讼费用给予补偿,可以实现董事利益的保护。但对此,现行法的相关规定较为模糊,理论基础也不明确。在满足一定的条件下,应当采取强制规定的方式,赋予胜诉董事诉讼费用补偿请求权。该费用范围应包括律师报酬等所有必要的费用。

| Abstract: | When an accused board director won a court case in a lawsuit conducted by a shareholders' representative,if the related company pays the compensation to him/ her for the court costs,the necessary protection of directors' interests is therefore realized.Nevertheless,the regulations in the law in effect are obscure while the theoretical basis is not clear.When the given conditions are satisfied,it is necessary to adopt the method of coercive stipulations to grant the rights to the related director for requesting the compensation for the court costs.The costs should include all the expenditure such as attorney fee. |
