| 摘 要： | 股东知情权是股东享有的一种十分重要的股东权,是股东实现其他股东权的重要基础.本文阐明了股份公司中小股东知情权保护的必要性,并分析了中小股东知情权受侵害的表现和原因,最后对中小股东知情权的范围、行使途径作了阐述,并提出了建立预防与救济并重的中小股东知情权的保护机制.

| Abstract: | The right to know is one of the important rights of the shareholders,which is foundation for shareholders to achieve other rights.But comparing with the major shareholders,small ones are in a poor situation because they can not collect or get necessary information,and consequently their rights cannot be protected.This paper illustrates the necessity of protection of small and medium shareholder's right to know in the Joint Stock Companies and analyses the scope and means to protect the small shareholders' right to know. |
