| 摘 要： | 格式合同（条款）的界定是对其进行特别规制的逻辑前提。并非一方提出交给对方签署的所有条款都是格式条款。只有在形式上具有规格化、定型化特点，在实质上具有附从性的条款，才是格式条款。一方使用示范合同与相对人订立合同的，该示范合同也有作为格式条款予以规制的可能。相关地方立法中的规定应作检讨。

| Abstract: | The identification of adhesion contracts is the first requirement of governing specially adhesion contracts.Not all the provisions presented by one party for the other's signature are adhesion contracts.The provisions are adhesion contracts only if they are standardization in style,of adhesion in nature.When one party enters into a contract with others by using model contracts,the modal contracts may be governed as adhesion contracts.Related provisions in local regulations must be reconsidered. |
