| 摘 要： | 商业秘密是一种重要的无形财产 ,实践中企事业单位大多通过制定内部保密规章制度、保密协议等进行自我保护。目前我国立法对职工保密义务的性质尚无统一明确的具体规定。从商业秘密的性质、有关职业道德和法律的要求以及社会需要的不同侧面分析 ,职工保守商业秘密应当成为其法定义务 ,法律对此应予明确规定

| Abstract: | As an important intangible property, trade secret is mainly protected by contract of secrecy in practice. This paper analyzes the actual situation of legislation on employees' duty of maintaining secrecy and studies the characteristic(s) of this duty. It points out that keeping trade secret ought to be employees' legal duty rather than contractual obligation. |
