| 摘 要： | 私人有限公司的组织模式在立法上存在着合伙模式、资合公司模式、选择模式和强制模式多元并存的格局,这是私人有限公司的特殊性质造成的。其组织模式的发展方向是放松管制,赋予股东和公司充分的自由权利和自治空间,自由选择模式是私人有限公司的最佳组织模式。

| Abstract: | The legislative modes of the private limited liability company(the PLCC) include partnership model,joint-ventured company model,optional model and compulsory model.This is resulted in the particular nature of the PLCC.The developing trends on institutional framework of the PLCC is to deregulate,to give shareholders and company enough room of self-administration.The free preference is the best model for the institutional framework of the PLCC. |
