新《公司法》中破解"公司僵局"制度安排的探讨

结合我国《公司法》的修订,论述了“公司僵局”的定义,破解了公司僵局的理论基础及各国的相关立法与制度,着重探讨了我国实践中公司僵局的类型、新《公司法》中解决“公司僵局”的制度安排,立法争议以及司法实践中解决公司僵局诉讼中存在的问题。指出“公司僵局”是一个描述公司政治与利益冲突的形象词汇。为保护股东利益,有效破解公司僵局状态,欧美国家都在有关立法与司法制度中作了相应的制度安排。我国新《公司法》虽然并未直接提出“公司僵局”的概念,但新《公司法》中的公司司法解散制度、股份回购制度等一系列具体制度,实际上确立了解决公司僵局问题的制度安排。

Exploration on New Company Law's Attempt to Solve the Company Deadlock

In light of the amendment to Company Law in china recently,this paper discusses the definition of company deadlock,analyzes the theoretical basis of breaking company deadlock,and gives a comparative introduction to relevant legislation and institutions in solving the company deadlock of other countries.In this paper the author focuses on categorizing the company deadlock considering China's specific situation and practices.Besides that,the author also proves largely into the institutions to solve company deadlock in new Company Law,controversies occurring in legislation and problems to solve company deadlock in judicial practices.The author holds that company deadlock is a vivid phrase used to describe the conflict between politics and interests in the company.To break the company deadlock and protect shareholders' rights and interests,relevant rules have been established in European and U.S.legislation and justice.Although there isn't definite concept about company deadlock in new Company Law of China,judicial dissolution,stock repurchase and other institutions in it actually are institutional arrangements to solve company deadlock.
