| 摘 要： | 本文从经济学、管理学和法学三个学科交叉的视角,对不公平关联交易的涵义进行界定,以此为基础分析其运作机理及损害中小股东的制度和法律缺陷,得出要解决我国控股股东利用不公平关联交易损害中小股东利益的现象必须从完善宏观、微观制度结构和法律、法规体系入手。否则,不公平关联交易必将会损害中小股东投资的热情,企业并购最终会丧失其存在的基础。

| Abstract: | Based on defining the meaning of unjust related transactions from the viewpoints of economics,management and law.this paper analyzes the mechanism of their operation and the institutional and legal defects that make it hurt the interests of the small and medium shareholders.It is suggested that the problem should be solved by taking two measures: 1.Perfecting the macroscopic and microscopic system structure;2.Perfecting the system of law and regulation. |
