法定公证制度与公司登记改革

我国《公司法》的修改废除了最低注册资本限额，对于如何保障发起人以及股东出资真实性的问题提出了新的要求，在登记机关退出公司注册资本的实质审查后，公司资本的真实性保障和信用基础需要其他替代机制进行架构。从我国公司资本制度改革的方向上分析，未来我国公司信用体系的构成应当包括民商事实体法（主要是公司法）、公证程序法律制度、法定公证制度、公司登记制度，这是符合当代市场经济信用需求的公司信用制度结构。如今公司登记制度的改革应当将其中欠缺的法定公证制度予以补正，公司章程应当成为法定公证事项，以此防范公司信用风险，进而为我国公司信用机制和公司登记制度的完善提供制度基础和实践经验。
